North Drogheda Environs Group Letter Of Intent
We the undersigned have agreed,
in principle, to act as a consortium to be known as the North Drogheda
Environs Group (“the Consortium”), for the purposes set out
below.
The Consortium has come together to assist in the giving effect to the
Local Area Plan for the North Drogheda Environs, published by Louth County
Council, by procuring certain infrastructure in conjunction with Louth
County Council and Drogheda Borough Council.
To this end the Consortium intends to work in partnership with Louth County
Council, Drogheda Borough Council and others (as necessary) so that our
respective land holdings set out in Annex A can be developed in a coordinated
fashion to the optimum advantage of all stakeholders that have an interest
in the North Drogheda Environs.
In order to give effect to the above, we have agreed to continue discussions,
in good faith, amongst the Consortium members and with Louth County Council
to bring forward this project.
The matters to be progressed include the following:-
1. A Masterplan for the North Drogheda Environs
The issues of interest to the Consortium in respect of the masterplan to be developed
by Louth County Council include the following:
(i) urban design principles;
(ii) level and location of open space;
(iii) density;
(iv) affordable and social housing strategy;
(v) scale of neighbourhood centres;
(vi) school/crèche strategy;
(vii) costing, design and delivery of infrastructure, including road, water supply,
foul sewerage and surface water requirements;
(viii) the location of a railway station;
(ix) phasing of development;
(x) group water scheme solutions;
(xi) co-ordination of utility services provisions;
(xii) Environmental Impact Statements or Strategic Environmental Assessment.
2. Consortium Agreement Between the Consortium Members
This agreement will deal with the internal management of the North Drogheda Environs
Group and the issues to be agreed will include the following: -
(i) A co-ordinated approach to inputting into the development of the proposed
masterplan for the North Drogheda Environs, in the most efficient way possible;
(ii) the appointment of various Consortium members to the sub-committees sub-groups
(including the operations group and the strategic group);
(iii) the appointment of independent personnel (as required);
(iv) the sale of land in the North Drogheda Environs by Consortium members;
(v) the development of a common policy when dealing with Louth County Council;
(vi) the commitment by Consortium members to the provision of all land, wayleaves
and access in order to allow for the delivery of the required infrastructure;
(vii) a methodology for reimbursing Consortium members for “sterilised” land
(viii) the funding of the Consortium’s activities (including infrastructure
delivery) to be made by Consortium members;
(ix) resolution of disputes.
3. Development Agreement Between Louth County Council, Drogheda Borough Council
and the Consortium
This Agreement will deal with the procurement of the agreed infrastructure by
the Consortium and the financial reimbursement/contributions to be made by Louth
County Council and Drogheda Borough Council to the Consortium members. The issues
to be agreed will include the following:-
(i) the obligation of the Consortium to procure the design and construction of
the required infrastructure;
(ii) the various development warranties to be given by the Consortium;
(iii) the financial reimbursement and contributions to be obtained by the Consortium
members from Louth County Council and Drogheda Borough Council;
(iv) financial contributions to be provided to the Consortium from lands outside
the North Drogheda Environs which will benefit from the delivery of the new infrastructure;
(v) an agreed programme for the delivery of social and affordable housing;
(vi) the phasing of the delivery of the required infrastructure in conjunction
with the phasing of the delivery of the private sector development of the North
Drogheda Environs;
(vii) the obligation by Louth County Council and/or Drogheda Borough Council
to procure the design and construction of ancillary infrastructure ;
(viii) the obligation of Louth County Council and/or Drogheda Borough Council
to take in charge the infrastructure procured by the Consortium at (i) above;
(ix) a commitment by Louth County Council, in so far as is legally possible,
to adhere to the principles of the proposed masterplan and to provide for a consistent
approach in respect of all planning applications made in respect of the North
Drogheda Environs;
(x) the methodology for approval of the design of the infrastructure work, the
design team and contractor by Louth County Council;
(xi) insurance obligations;
(xii) agreement on the method of procurement of all relevant consents (including
use of Part VIII procedures) for the infrastructure works;
(xiii) agreement in respect of bonding arrangements contained in relevant consents
for the private sector development of the North Drogheda Environs
(xiv) an obligation to act in good faith to structure the project in as tax efficient
a way as reasonably possible.
Furthermore, the undersigned agree that on the disposal of any interest in the
lands set out in Annex A, the Consortium member who is disposing of the interest
shall notify the Consortium by sending it a notice in the form set out in Annex
B signed by the purchaser of the lands.
